Terms Of Trade.
1. TERMS AND CONDITIONS
1.1 These terms and conditions (hereinafter the “Terms”) apply to the services that Betterhype.com offers to the company (hereinafter the “Company”), including by creating and using a company profile on Betterhype.com’s website and in collaboration with influencers and content creators in connection with campaigns, etc.
1.2 Betterhype.com is an influencer and content creator marketing platform that operates in line with the UN global compact 10 principles and the platform is based on the United Nations’ 17 Sustainable Development Goals (hereinafter the “UN’s Sustainable Development Goals”). The platform aim to support and be and active component in companies ESG reporting. The Companies create their campaigns within the platform, all of which incorporate one or more of the UN’s Sustainable Development Goals into the campaign. Influencers and content creators then bid on the campaigns they want to work on and are also obligated to incorporate one or more of the UN’s Sustainable Development Goals into their work and campaigns.
1.3 It is not possible to use the platform if:
- The Company is subject to a UN sanction
- The Company is listed on the UN’s Ineligible Vendors List for ethical reasons
- The Company earns income through the production, sale, and/or transfer of antipersonnel landmines or cluster munitions
- The Company earns income through the production and/or processing of tobacco
1.4 Betterhype.com reserves the right to unilaterally change the Terms on an ongoing basis. The Company is therefore asked to stay updated on Betterhype.com’s website.
1.5 When creating a Company profile/registration as a Company, the Company accepts the Company Terms mentioned on this page.
2. REGISTRATION
2.1 When a Company creates a company profile with Betterhype.com, the Company must enter the following information:
- Name,
- Brand logo,
- The Company’s prioritized Sustainable Development Goals in connection with the Company’s ESG strategy,
- Relevant links to information on the website about the Company’s Sustainable profile and the Company’s Sustainable Development Goals or other relevant CSR/sustainability-related information,
- Profile description, including company information, and a description of the Sustainable Development Goals in the biography (hereinafter “Bio”),
- Email, address, country, phone number, and
- Credit card information
2.2 The Company must not provide incorrect information and is responsible for ensuring that the information provided to Influencers and content creators is accurate and in compliance with applicable laws and regulations.
2.3 The data is used to match Influencers and Companies.
2.4 Upon creating a profile on Betterhype.com, the Company simultaneously agree that as users, they will receive emails from Betterhype.com. These emails may contain relevant information regarding Betterhype.com, its products, news, and services. These messages are designed to ensure that Companies, as users, always have the latest information about the platform.
2.5 The Companies have the option to unsubscribe from the emails by using the link provided at the bottom of the received emails.
3. CAMPAIGNS
3.1 The Company must post their campaign on the platform, after which the Influencers and content creators can submit an application for the specific campaign.
3.2 The Company must approve the applications from Influencers and content creators for the campaigns. Betterhype.com reserves the right to approve and delete materials related to the campaigns, including the content from the Influencers and the content creators.
3.3 When the application period is over, the Company has 10 days to send rejections to the Influencers and content creators who did not get the job. If the Company fails to do so within the deadline, Betterhype.com will send the rejections, and the Company will be charged DKK 750.
3.4 The Company may not provide incorrect information or information that is not related to the Campaign. Furthermore, the Company is committed to informing Influencers and content creators about important changes in any campaign.
3.5 The Company is responsible for ensuring that all material made available to Influencers and content creators regarding a campaign, or similar companies with all relevant legislation. The Company shall indemnify Betterhype.com and Influencers and content creators in relation to claims arising out of any material that the Company makes available to Betterhype.com or the Influencers and content creators.
4. TERMINATION OF SUBSCRIPTION
4.1 Unless otherwise agreed or stated in the subscription offer, a subscription may be terminated at the end of the prepaid/invoiced period. The subscription is automatically renewed based on the frequency chosen in the subscription offer; therefore, termination is only valid at the end of the current subscription period.
4.2 Subscriptions cannot be terminated if they have been entered into before the subscription period has expired.
4.3 If a Company has a free profile, the profile will be deleted after 7 days if the Company does not subsequently choose to sign up for a subscription.
4.4 Unethical Companies can be terminated without notice. In the event of potential termination, the following steps will occur:
- The Company’s account is temporarily removed
- Betterhype.com analyzes and assesses the issue
- Betterhype.com engages in a dialogue with the Company if necessary
- The Company’s account is either removed or reactivated based on an evaluation
4.5 A Company can cancel a subscription with Betterhype.com on the website under the Company’s profile.
5. PRICES
5.1 The prices of the subscriptions can be seen via the following link:
5.2 All prices are excluding VAT.
5.3 Betterhype.com reserves the right to change prices and the subscriptions, and the Companies will be informed about this at least 1 month before the changes take effect.
5.4 Betterhype.com accepts payment only via credit card, which is why this information should be filled out during registration, as per section 2.1.
5.5 Betterhype.com accepts only the following credit cards:
- Mastercard
- Visa
- American Express
6. OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS
6.1 Betterhype.com retains all rights, including but not limited to intellectual property rights, to the technology and additions, improvements, updates, and modifications thereof.
6.2 As a user, you do not acquire ownership in or to the technology, and you are not granted any license or other right to use the technology except for your right to access the platform and its content in accordance with these Terms. The Betterhype.com name, logo, and all product and service names associated with the platform, etc., are trademarks owned by Betterhype.com.
6.3 Betterhype.com is owned by Essencius A/S, and users, by accepting the terms of trade, consent to Essencius A/S transferring its data to a new owner who commits to complying with applicable laws in the event of the sale of Betterhype.com.
6.4 Betterhype.com has the right to use company names, logos, and campaign materials from campaigns provided via Betterhype.com in PR and marketing for Betterhype.com.
6.5 Companies cannot use trademarks and other materials without the approval of Betterhype.com.
7. VIOLATION
7.1 If the Company violates the Terms, Betterhype.com may terminate the cooperation with immediate notice. In the event of potential termination, the following steps will occur:
- The Company’s account is temporarily removed
- Betterhype.com analyzes and assesses the issue
- Betterhype.com engages in a dialogue with the Company if necessary
- The Company’s account is either removed or reactivated based on an evaluation
7.2 Significant violations include, but are not limited to on a company-wide basis:
- Lack of information to Betterhype.com about significant changes
- Cheating or manipulation
- Reasonable suspicion of abuse
- If the Company us subject to a UN sanction
- If the Company is listed on the UN’s Ineligible Vendors List for ethical reasons
- If the Company generates income through the production, sale, and/or transfer of antipersonnel landmines or cluster munitions
- If the Company generates income through the production and/or processing tobacco
- If the Company contributes to SDG washing
7.3 If the Company is caught in cheating or manipulation, the Company will be immediately dismissed and will not receive any form of payment.
7.4 Significant violations include, but are not limited to on a campaign-specific basis:
- Submission of incorrect information using Betterhype.com’s platform in connection with a campaign, etc.
- If Betterhype.com considers that a campaign contributes to washing or to be ethically reprehensible or contrary to applicable law and administrative practice of public authorities
7.5 If any of the above violations are identified, Betterhype.com reserves the right to reject campaigns on the platform and subsequently assess whether the Company’s profile should be deleted.
7.6 The Company is obliged to control and follow up on the Influencers and the content creators with whom the Company has entered into a collaboration.
7.7 The Company must immediately inform Betterhype.com if an influencer and content creator violates campaign-specific guidelines.
8. DATA
8.1 Betterhype.com processes data about the Companies in accordance with applicable data protection legislation and Betterhype.com’s privacy policy, which is available on Betterhype.com’s website.
8.2 Betterhype.com has the right to use data in anonymized form in connection with both communicative and commercial initiatives.
8.3 The Company guarantees to Betterhype.com that it has the legal right, including all necessary and appropriate consents and notices, etc., in place to enable the lawful transfer of personal data to Betterhype.com during and for the purposes specified in these company conditions so that Betterhype.com can lawfully process the data in accordance with Betterhype.com’s privacy policy on behalf of the Company.
9. RESPONSIBLE USE OF BETTERHYPE.COM SERVICES
9.1 The Betterhype.com platform may only be used for the Company’s own use, i.e. The Company may not resell or otherwise use Betterhype.com services in a manner that may be detrimental to Betterhype.com or contrary to the purpose of the platform.
9.2 The Company is responsible for the information and material shared with Influencers and content creators in a campaign. Betterhype.com reserves the right to change, modify and remove information for the platform and to prevent users from accessing it.
9.3 It is the Company’s own responsibility to comply with Danish legislation, including the Danish Marketing Act, and to stay informed about and follow the recommendations of the national Consumer Ombudsman and the EU Green Claims Directive.
9.4 Betterhype.com reserves the right to conduct sampling control of the Companies.
9.5 Companies can be put on hold if they are suspected of not actively working towards the UN’s Sustainable Development Goals. Betterhype.com reserves the right to make such a decision based on both objective and subjective considerations. Companies not actively engaged in the UN’s Sustainable Development Goals will be subjected to the following steps:
- The Company’s account is temporarily removed
- Betterhype.com analyzes and assesses the issue
- Betterhype.com engages in a dialogue with the Company if necessary
- The Company’s account is either removed or reactivated based on an evaluation
10. DISCLAIMER
10.1 Betterhype.com is not liable for failure or delay in fulfilling a benefit or other derivative claims due to force majeure or other circumstances beyond the control of Betterhype.com.
10.2 Betterhype.com is not liable for indirect losses, consequential damages, operational damages, loss of profit, loss of data, claims from third parties or other financial loss as a result of the service not being able to be used as expected. Likewise, Betterhype.com cannot be held responsible for losses due to unauthorized access to the Company’s data and/or systems.
10.3 Betterhype.com cannot be held responsible for any errors, deficiencies, or changes on the social platforms from which Betterhype.com retrieves data via API.
10.4 Betterhype.com cannot be involved in disputes between the Company and the Influencers and the content creators unless a separate agreement has been made with Betterhype.com to act as an advisor on the project where the dispute arises and where it can be clearly demonstrated that Betterhype.com is the cause of the dispute.
10.5 The Company shall indemnify Betterhype.com for the Company’s non-compliance with relevant legislation as well as for failure or inadequate delivery of its service in the campaign.
11. LAW AND VENUE
11.1 Any dispute between the parties or with Betterhype.com, which cannot be resolved amicably, is settled by the application of Danish law, and otherwise by the ordinary Danish courts. However, the aforementioned choice of law does not include Danish law’s rules of international private law.
